Principal Associate - Capital One Software

As a Principal Associate, you will apply your drafting, negotiation, and transaction management skills to a major, strategic initiative for Capital One and will partner with your Legal colleagues to help the Capital One Software business go from 0 to 1. This role will require creative thinking and constant communication with business and Legal stakeholders related to selling commercial software products. You will draft and negotiate medium to low risk commercial software agreements with Capital One Software customers. You will closely partner with Capital One Software's Go to Market and Sales functions by driving contracting efficiency as Capital One Software expands its footprint and product line.

You'll do it all in a collaborative environment that values your insight, encourages you to take on new responsibilities, promotes continuous learning, and rewards innovation. You will need to display excellent written and oral communication skills coupled with strong transactional skills in order to independently drive deals to completion. The ability to take complex ideas and break them down into simple concepts that anyone can understand is a must have. Capital One Software's business is a fast paced, entrepreneurial, and dynamic environment.

Required skills include, but are not limited to:

Transaction Management: You can manage numerous Capital One Software deals from start to execution in a timely manner. You're able to juggle simultaneous reach outs to Capital One Software business stakeholders and Legal subject matter experts, while communicating with the Deal Desk and individual Sales associates to ensure each transaction reflects business intent. You can effectively and efficiently prioritize competing tasks to ensure deals are signed quickly.

Negotiating and Drafting: You will lead negotiations with Fortune 500 customers and ensure that Capital One Software is adequately protected from risk by leveraging industry best practices and internal subject matter experts. You can turn drafts of agreements based on conversations with Legal and business counterparts. You can mitigate risk and still achieve business objectives. You can review customer policies and procedures and flag operational risks for the Deal Desk, identify Legal risk, and exercise sound judgment to escalate when needed.

Collaborating: You understand that Legal and your business counterparts are really part of "One Deal Team" and you will partner very closely with the Deal Desk in Revenue Operations. You will be aligned to a Sales team and work with the Deal Desk to support individual Sales associates to help them prepare for customer calls, support deal prioritization, and ensure adherence to Capital One Software operational processes and procedures. You will identify and reduce friction points to ensure efficient and timely deal cycles.

Translating: You understand the law as well as the technology driving Capital One Software's product offerings. You can converse with Legal subject matter experts, Sales associates, and internal operations teams fluently, and modify your language and style to each group.

Comfortable Thinking "Outside the Box": Your (to be learned) understanding of Capital One's banking history and technology journey, the commercial software industry, and applicable law will allow you to work around the corners of novelty. You're not frustrated by things you don't know about; you're intrigued (and you look those things up and learn about them).

An Ownership Mentality: As the lead Legal negotiator for medium to low risk deals, you are the face of Capital One Software to prospective customers. You own the deal from start to finish and partner extremely closely with the Deal Desk to ensure the Capital One Software team can meet and operationalize contractual obligations. Don't worry though, you'll have plenty of support from your Capital One Legal Department colleagues. We have your back.

Basic Qualifications:

  • Juris Doctor Degree

  • Active member in good standing of at least one state bar

  • At least 3 years of experience in a law firm environment, contracting procurement, or similar role advising on corporate transactions and drafting and negotiating transaction documents.

Preferred Qualifications:

  • 2+ years of experience in advising technology companies or banks

  • 2+ years of experience drafting and negotiating commercial software contracts

  • Experience drafting commercial software license agreements or product terms

  • Understanding cloud technology and a wide variety of other technology areas

  • Effective oral and written communication skills in communicating business and intellectual property issues with and between developers, engineers, and business leaders

  • Ability to work independently while being able to contribute successfully to cross-functional teams

  • Excellent organizational skills, ability to manage multiple projects at once, and follow through and meet deadlines

  • Ability to respond to competing stakeholder requests and prioritize urgency and importance

  • Strong analytical and computer skills

The minimum and maximum full-time annual salaries for this role are listed below, by location. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Capital One is willing to pay at the time of this posting. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

McLean, VA: $127,500 - $145,500 for Principal Associate Counsel Richmond, VA: $115,900 - $132,200 for Principal Associate Counsel

Candidates hired to work in other locations will be subject to the pay range associated with that location, and the actual annualized salary amount offered to any candidate at the time of hire will be reflected solely in the candidate's offer letter.

This role is also eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI). Incentives could be discretionary or non discretionary depending on the plan.
