We are seeking a Senior Corporate Counsel to join our team. This is a hybrid opportunity based out of our Waltham, MA office.

Job Summary

The Senior Corporate Counsel is responsible for working proactively as a liaison and business partner with the global enterprise business units. This role will partner to facilitate the revenue generation, legal review processes, and privacy and compliance to support enterprise risk management. This position will provide legal advice and counsel to internal clients, at all levels, for Imprivata's business units. This position reports to the SVP, Legal and will support day-to-day initiatives.

Duties and Responsibilities

  • Ensure compliance with legal, contractual, and risk management policies to minimize and limit corporate liability, manage risk, and optimize durability of contracts, policies, and procedures.
  • Identify contractual risks and issues and suggest alternatives that lead to optimal solutions.
  • Liaise with domestic and international business units at all levels throughout the organization in support of legal and compliance initiatives.
  • Negotiate a wide variety of supplier, customer, vendor, partner, and channel agreements in jurisdictions globally, leveraging your legal knowledge and bringing an astute commercial approach.
  • Identify areas for business improvement and work to improve processes, looking for efficiencies in systems to improve our reach and help manage Imprivata's overall risk.
  • Provide legal guidance on the responsible development, deployment, and commercialization of AI features across Imprivata's solutions.
  • Act as a privacy legal point of contact for the appropriate business units to provide support and inform of applicable privacy compliance obligations.
  • Design and conduct effective communication and training programs to drive employee awareness about key risks and legal compliance initiatives.
  • Provide a high level of balanced judgment, identify potential legal issues and propose solutions to mitigate risk.
  • Other duties as assigned and required.

Required Qualifications

  • A JD with 5-7 years' experience drafting, reviewing and negotiating software-related contracts and related agreement
  • A sound knowledge of intellectual property- mix of law firm and in-house is preferred.
  • A proven track record of effective collaboration, project and process development, implementation, and project management.
  • Experience preparing and negotiating various software license agreements, as well as partner, vendor, and intercompany agreements.
  • General understanding of revenue recognition practices.
  • Self-motivated, with the ability to autonomously manage and prioritize workload and meet deadlines in a fast-paced environment.
  • Ability to collaborate in a complex, global, environment and work in diverse teams, sometimes virtually located.
  • Possess a practical and collaborative approach to problem solving with the ability and willingness to learn about various subject matter (both from a legal and business perspective).
  • Comprehension of global privacy regulations (GDPR and PIPEDA), US data privacy laws both state and federal (HIPAA/HITECH and CCPA/CPRA),
  • Excellent oral and written communication skills.
  • Proficiency in O365, Salesforce, NetSuite, and other relevant enterprise software.

This position offers a total compensation range of $215,000.00 to $225,000.00 (inclusive of base salary and variable compensation, such as bonuses and incentives). In addition, more information about Imprivata's benefit offerings can be found here. This range represents the high and low end of Imprivata's compensation range for this position. Actual compensation will vary and may be above or below the range based on various factors, such as a candidate's location, skills, experience, and qualifications.
