What is the opportunity? The Associate Director & Senior Counsel will provide Investment Banking legal coverage assisting senior counsel with Equity Capital Markets, Fixed Income Capital Markets and Private Placement transactions. This role will interact and collaborate with members of the Legal Affairs and Compliance Group and other functional groups, senior and junior level front office partners, and representatives of third parties such as clients, governmental entities, accountants, and law firms. What will you do?
Review, draft and negotiate equity and debt private placement engagement letters Review and negotiate transaction documentation relating to public and private equity and fixed income transactions (including underwriting and purchase agreements and offering documents) Prepare and update standard forms, and review and advise on policies, procedures and guidelines for the investment banking business Supervise and collaborate with external counsel on day-to-day investment banking transactional matters, as well as broader business and regulatory issues Maintain up-to-date knowledge of legal and regulatory developments with respect to securities transactions, and evolving market practices in the equity and fixed income markets Advise business management as to structuring of investment banking transactions and business initiatives from a legal, regulatory and reputational risks perspective
What do you need to succeed?
Education Level: JD from a U.S. law school Experience: 5+ years in a law firm and/or in-house investment banking position Securities law and investment banking transactional and advisory experience, including experience with equity and fixed income public and private offerings

In-house counsel experience at a large investment bank Substantial knowledge of and experience with securities offerings and other securities transactions, including the origination process and documentation, as well as regulatory framework, applicable rules, and current market practices Strong drafting and analytical skills, superior judgment and practical, risk-based decision-making capabilities with a problem-solving attitude Strong communication skills including the ability to provide clear, concise and practical advice and guidance to senior business partners Ability to provide pro-active structuring solutions with a comprehensive understanding of associated risks Strong interpersonal skills and capacity to build relationships; ability to provide guidance to senior and junior level front office partners and to facilitate business in a risk-appropriate and cost-effective manner

The expected salary range for this particular position is $150,000-225,000, depending on your experience, skills, and registration status, market conditions and business needs.
